01n.ai Boilerplate is a comprehensive solution for installing and utilizing open-source Large Language Models. This document outlines the Terms and Conditions for your use of the software and associated services.

Summary

Upon purchasing the 01n.ai Boilerplate, you will gain access to download the assorted templates, models, and documentation necessary for installation and operation. You will be provided with a license key designated to either an individual or a company, which dictates permissible use and distribution.

Definitions and Interpretation

• Licensed Software: Refers to the 01n.ai Boilerplate and all included components, as defined in this agreement.
• Commencement Date: The date upon which you download the Licensed Software.
• License Key: A unique series of characters issued by 01n.ai, used to activate and validate the Licensed Software.
• Nominated Organization: Any business or organization explicitly identified during the purchase process of the Licensed Software.
• Update: Software improvements, extensions, or modifications released to enhance the core functionality.

Grant of License and Restrictions

The Licensor grants you a non-transferable, non-exclusive, world-wide license as follows:

• A Personal License allows you, an individual, to use the software for an unlimited time, but may not be shared or transferred to others.
• A Company License permits use by multiple individuals employed or contracted by a Nominated Organization. Seats are transferrable within the organization.

Redistribution, sublicensing, or modification of the software for third-party use is strictly prohibited. You may not host the software on any publicly accessible server without express permission.

Intellectual Property Rights

All intellectual property rights in the Licensed Software remain the property of 01n.ai. You may not engage in any activity that infringes on these rights, including but not limited to reverse engineering, alteration, or replication.

Payment and Pricing

Payment terms are as disclosed during the purchase process, with different plans available for Starter, Pro, and Premium access. Fees are non-refundable unless otherwise stipulated by mandatory consumer rights laws.

Updates and Support

Updates to the Licensed Software may be provided regularly over a 12-month period for Pro plan users. Support and custom solutions are available under the Premium plan by separate agreement.

Liability

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, USE OF THE LICENSED SOFTWARE AND ANY SERVICES PERFORMED BY OR ACCESSED THROUGH THE LICENSED SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND 01N.AI AND 01N.AI’S LICENSORS (COLLECTIVELY REFERRED TO AS “01N.AI” FOR THE PURPOSES OF SECTIONS 7 AND 8) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED SOFTWARE AND SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

Termination

You may terminate this Agreement at any time by ceasing use and uninstalling the Licensed Software. 01n.ai reserves the right to terminate this Agreement if you breach any of its terms. Upon termination, your right to use the software ceases immediately.

General

This Agreement constitutes the entire agreement between you and 01n.ai. Any amendments must be in writing.
